General Terms and Conditions of saßerath + bitter GbR

1. Scope and subject matter of the contract

1.1. These General Terms and Conditions apply to all contractual relationships between saßerath + bitter GbR (hereinafter referred to as the “Provider”) and its customers (hereinafter referred to as the “Client”) in connection with the provision of consulting and training services.
1.2. The subject matter of the contract includes, in particular, management consulting, strategy development, change management, (agile) project management, as well as training courses and workshops.
1.3. Any deviating terms and conditions of the Client shall not become part of the contract unless the Provider expressly agrees to their validity in writing.

2. Conclusion of contract and offers

2.1. Offers made by the provider are subject to change and non-binding, unless expressly agreed otherwise in writing.
2.2. The contract is concluded upon acceptance of the offer by the client. Acceptance can be made in writing or in text form (e.g., by email).

3. Scope of services and service provision

3.1. The provider shall render the agreed services on the basis of the work packages and phases agreed with the client.
3.2. Invoicing shall be on a daily basis (person days – PD) in accordance with the processing and completion of the individual work packages.
3.3. The provider is free to organize their working hours and place of work, unless expressly agreed otherwise.
3.4. No guarantee of success is given. The provider is only obliged to perform the agreed service, but not to achieve a specific result.

4. Client's obligations to cooperate

4.1. The client shall provide all information and documents necessary for the provision of services in a timely and complete manner.
4.2. Delays or additional expenses arising from the client’s failure to cooperate in a timely or complete manner shall be borne by the client.

5. Remuneration and terms of payment

5.1. Remuneration shall be based on person days (PD) at the daily rates specified in the offer.
5.2. All prices are exclusive of statutory value added tax.
5.3. Payments are due within 14 days of invoicing without deductions.

6. Cancellations and withdrawal

6.1. The following provisions apply to cancellations of agreed appointments by the client:

  • Up to 14 days before the appointment: no charge.
  • Up to 7 days before the appointment: 50% of the agreed fee.
  • Less than 7 days before the appointment: 100% of the agreed fee.

6.2. The client reserves the right to prove that the provider has incurred no damage or less damage.

7. Liability and warranty

7.1. The provider shall only be liable for intent and gross negligence.
7.2. Liability for indirect damage, consequential damage, or loss of profit is excluded.
7.3. The provider does not guarantee that specific results will be achieved.

8. Confidentiality and data protection

8.1. Both parties undertake to keep confidential all confidential information that becomes known to them in the course of their cooperation.
8.2. The provider shall process the client’s personal data exclusively within the framework of the statutory provisions and in accordance with its privacy policy.

9. Final provisions

9.1. Amendments and additions to these General Terms and Conditions must be made in writing. This also applies to the waiver of the written form requirement.
9.2. Should individual provisions of these General Terms and Conditions be wholly or partially invalid, the validity of the remaining provisions shall remain unaffected.
9.3. The law of the Federal Republic of Germany shall apply. The place of jurisdiction is the registered office of saßerath + bitter GbR.
